About SafetySkills™:
nooodleStream.com actively markets our SafetySkills™ solution, a simple, web-based learning management system (LMS) coupled with a one-click ecommerce solution. SafetySkills™ allows the end-user customer to configure a unique URL (e.g. companyname.inclassnow.com), perform basic site customization (upload logo, select pre-configured color scheme), upload their learners and select and assign training from a pre-loaded compendium of over 1000, pre-configured, off-the-shelf, HR and EHS courses. The course prices range from $10 to $15 per assignment depending on the number of assignments purchased at any one time. SafetySkills™ also has subscriptions that allow customers complete access to our entire course library starting at just $100 a month plus $1 a learner.
About the SafetySkills™ Partner Program:
SafetySkills™ offers a SafetySkills™ Partner Program by which our partners may choose to promote SafetySkills™ through the use of banner ads, page peels, lightbox ads, text ads, email ads, pdfs and/or other promotional advertising items which SafetySkills™ may make available through its self-service partner program online. Partners using this method will receive 10% on each first sale made via any of their referral link(s).
Partner Program Terms of Service
To be an authorized Partner of noodleStream.com/SafetySkills™, you must agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering. By continuing, you indicate your acceptance of this agreement and its terms and conditions.
This agreement describes the terms and conditions which apply to participation in the SafetySkills™ Partner Program.
In this agreement, the term "Partner" refers to you (the applicant). Wherever the agreement refers to "you" or "your", it means "the Partner"; "we" or "our" refers to "noodleStream.com/SafetySkills™".
Commissions
You will receive 10% commission on the revenue from first-time orders placed through your Referral link. For a sale to generate a commission to a Partner, the customer must remit full payment for the product(s) ordered. Commissions will only be paid on sales which are made through qualified Referral links.
Payment
noodleStream.com/SafetySkills™ will send a check for the applicable commissions within 45 days of receipt of the payment for which the commission is being paid, by Check (or Paypal, if chosen in the user account management software - http://www.safetyskillspartners.com/program/login.php). If any order that generated a referral fee/commission is returned by the customer, or if there are any returned checks or chargebacks, the amount will be deducted by from the Partner's next payment. Payments are made on the 1st of each month. A minimum balance of $50 much be reached before payment will be made. If the balance does not meet this minimum it will be carried forward until such time as it does.
Order Fulfillment
noodleStream.com/SafetySkills™ will be solely responsible for processing every order placed by a customer through the Partner's link(s).
Customers
Customers who purchase products and services through the Partner Program will be deemed to be customers of noodleStream.com/SafetySkills™.
Qualification for Commissions
Partners must have an active Referral link in order to qualify for commissions.
Service
noodleStream.com/SafetySkills™ reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Partner Program at any time. In the event of any material change, noodleStream.com/SafetySkills™ will notify you on this noodleStream.com/SafetySkills™ Partner Web site (http://safetyskillspartners.com/) at least 7 days prior to any such changes taking effect, at which time you may either agree to such changes or withdraw from the Program.
Registration
To sign up and continue in the Partner Program you must be at least 18 (eighteen) years of age, and supply a valid tax-id, which may be your social security number for individuals, or a federal tax-id for corporations or entities.
THE FOLLOWING TYPES OF SITES ARE NOT ALLOWED TO PARTICIPATE IN THE noodleStream.com/SafetySkills™ PARTNER PROGRAM: ADULT SITES, SITES THAT DISPLAY ADULT BANNERS, SITES THAT PROMOTE VIOLENCE, BIGOTRY, OR HATRED. SITES THAT PROMOTE ILLEGAL ACTIVITY, including but not limited to WAREZ, CRACKING, and HACKING SITES. As part of the registration process, You will select a username and password combination that you will use to access your Partner Account area. You shall provide noodleStream.com/SafetySkills™ with accurate, complete and up to date registration information. You may not select the name of another person with the intent to impersonate that person or deceive members or other users. You agree that noodleStream.com/SafetySkills™ may rely on any data, notice, instruction or request furnished to noodleStream.com/SafetySkills™ by you which we reasonably believed to be genuine and to have been sent or presented by a person reasonably believed by noodleStream.com/SafetySkills™ to be authorized to act on your behalf. of any known or suspected unauthorized uses of your Partner Account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of your username and/or password. You shall be responsible for maintaining the confidentiality of your username and password and you are responsible for all usage and activity on your Partner Account. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination by noodleStream.com/SafetySkills™ and referral to the appropriate law enforcement agencies.
Acceptable Use
You represent to noodleStream.com/SafetySkills™ that all content you provide is solely owned by you or provided by you with the express authority of the company you represent, does not infringe upon any other individual's or organization's rights (including, without limitation, intellectual property rights) and is not defamatory, libelous, unlawful or otherwise objectionable. You shall not provide, promote, distribute, place or otherwise publish as a noodleStream.com/SafetySkills™ Partner any content, or Website that includes content, which is libelous, defamatory, obscene, pornographic, abusive, fraudulent or violates any law. As noodleStream.com/SafetySkills™ may not review all information provided by you, you shall remain solely responsible for your content and Website(s), emails, etc.
Links may not be placed in newsgroups, unsolicited e-mail, ICQ, banner networks, counters, chatrooms or guestbooks. Any and all links placed must be done in such a way that it is not misleading to any visitor and done with the intention of delivering valid sales, leads, or clicks to noodleStream.com/SafetySkills™.
Unsolicited Commercial Email or SPAM
noodleStream.com/SafetySkills™ in no way participates in mass unsolicited emailing (i.e. spamming) and all Partners are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from noodleStream.com/SafetySkills™ Partner Program.
Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would contradict this statement.
Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Partner Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Partner Program will not exceed the total commissions paid or payable to you under to this Agreement.
Disclaimers
We make no express or implied warranties or representations with respect to the Partner Program or your potential to earn income from the Partner Program. In addition, we make no representation that the operation of our site or the Partner links will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
Jurisdiction
This Agreement shall be governed by Oklahoma, USA law (except for conflict of law provisions). The exclusive forum for any actions brought in connection with this Agreement shall be in the state and federal courts in and for the State of Oklahoma, USA and you consent to such jurisdiction. The application of the United Nations Convention on the International Sale of Goods is expressly excluded.
